ERPRush, LLC provides curated business data, including companies identified through signals such as mergers and acquisitions, intent data, and other publicly available or third-party sources.

The Services are intended for business use by companies operating primarily in North America.

We do not guarantee that any company included in our data:

• will purchase services from you

• has an active project or budget

• will respond to outreach

  
  

The Services are designed to provide signals and indicators, not confirmed purchasing intent.

2. Permitted Use

You may use the Services solely for your internal business purposes, including:

• identifying potential customers

• conducting outreach to businesses

• internal sales and marketing activities

  
  

You agree not to:

• resell, sublicense, or redistribute the data

• make the data publicly available

• use the data to build or enhance a competing product

• use the data for unlawful, deceptive, or unethical purposes

3. Data Sources and Accuracy

The data provided through the Services is compiled from:

• publicly available information

• third-party data providers

While we strive for accuracy and timeliness:

• we do not guarantee completeness or accuracy

• data may change over time

You are responsible for independently verifying information before acting on it.

4. Compliance with Laws

You agree to use the Services in compliance with all applicable laws and regulations, including but not limited to:

• CAN-SPAM Act (United States)

• CASL (Canada)

You are solely responsible for ensuring your outreach practices comply with all legal requirements.

5. Payments and Billing

All fees are billed in advance unless otherwise agreed in writing.

• Monthly subscriptions are billed in advance and renew automatically

• Annual plans are billed upfront

• Custom or managed services require payment prior to service delivery

  
  

All payments are non-refundable unless otherwise stated.

Failure to pay may result in suspension or termination of access to the Services.

6. Intellectual Property

All content, data formatting, structure, and underlying systems provided through the Services are the property of ERPRush, LLC.

You are granted a limited, non-exclusive, non-transferable license to use the data for permitted purposes under these Terms.

7. Confidentiality

You agree to treat all data and materials provided through the Services as confidential and not disclose them to third parties except as required for your internal business use.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

We make no warranties, express or implied, including:

• merchantability

• fitness for a particular purpose

• accuracy or reliability of data

We do not guarantee that use of the Services will result in revenue, deals, or business opportunities.

9. Limitation of Liability

To the fullest extent permitted by law, ERPRush, LLC shall not be liable for:

• any indirect, incidental, or consequential damages

• lost profits, revenue, or business opportunities

• damages arising from use or inability to use the Services

  
  

Our total liability shall not exceed the amount paid by you in the preceding 3 months.

10. Termination

We may suspend or terminate your access to the Services at any time if you:

• violate these Terms

• misuse the data

• fail to make required payments

  
  

You may cancel your subscription according to the terms of your plan.

11. Modifications

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States.

Any disputes shall be resolved in the appropriate courts within that jurisdiction.
